Working Towards Starting Your Company

Startup Funding Explained taught me:

• Seed investment is someone buying a percentage of shares that sets the value of the company

• Venture capitalists work for venture capital firms and raise venture capital funds, by taking other people's money and investing it into young risky companies.

• Angel investors invest their own money into a company.

• Pre-money valuation is how you currently value it

• Post-money valuation is pre-money valuation plus the first series of investments that you collect. The higher the post-money valuation the better.

Minimum Viable Product and Pivoting taught me:

• Take the vision of my product and break it up into smaller steps

• MVP should have enough value for customers to use it, gives a preview of the future products, and gives us feedback about the product.

• Always listen to the customers' opinions

• Pivoting is making a big change to your product to adapt to feedback. Be flexible so that you can do what’s best for your company

Executive Summary Example For An Effective Business Plan taught me:

• an executive summary lets the reader know what my business plan is about

• since it is a summary it can only be 1-2 pages long

• briefly explain the mission statement, target market, problem, solution, competition, and strategies for making it a reality

• make sure it doesn't repeat something stated in your business plan

• write a summary after your business plan

• keep a professional optimistic tone

Legal Basics And Business Entity Formation taught me:

• in a general partnership the partners share personal liability and have equal say in making decisions

• in a limited partnership one partner has unlimited liability and has most of the control of the company, while the other partners have limited liability and limited input

• the limited liability partnership all partners get limited liability

• corporations are separate from their owners

• C-corps are protected from lawsuits. They are expensive to form and pay tax on profits and stockholders have to pay taxes as well. Requires annual reports.

• B-corps let the CEO make decisions for social good even if it doesn’t yield the most profit. Has the same taxes and reports as C-corp with more reports to show the social good.

• Limited Liability Company can have one or more partners with limited liability.

How To Choose An Exit Strategy taught me:

• Entrepreneurs think of exit strategies to make money off of their business. Another company or management team could be interested in the business and buy it.

• An IPO is selling a portion of the company in public markets ad still operating as you did before it was sold.

• A strategic acquisition can be done with cash or stock and involves another company purchasing your business

• Management buyout is selling your company to the next generation of managers and it is the easiest transition within exit strategies

Value Proposition Examples taught me:

• They are specific, have a target audience, address a problem, and show why the company should be picked over another.

• learn how to differentiate your company from competitors

• if they are too long the reader will lose interest

How To Seek Help And Find Key Partners taught me:

• Working with key partners increases profit by lowering the cost per item by buying in bulk

• Key partners are formed to help their company and increase the revenue of both companies

• Partners contribute to raw resources and production of your company. They help with distribution also.

Profit Model taught me:

• how to plan out how much money will be needed to buy resources and still have a profit.

• the production and operating component which is used to maximize production

• the sales and marketing component to advertise the products

• the delivery of goods and service components which makes sure the product was received in a timely manner

• there are four types of profit models depending on the activity of the company

Value proposition and customer segments taught me:

• figure out why people should choose you over everyone else

• Create a new market that people lets people complete a task in a new way

• Find out ways customers can feel good and confident by having them fill out surveys to look for what they are interested in.

• Paypal, Stripe, and Square are all paid aggregators which makes it simple and easy to set up. The only risk is that it can freeze without warning and can stay like that for 6 months.

• Merchant accounts are directly connected to the bank and can only be used for the product that you specify that you are selling which can freeze the account.

• Hot wallets are connected to the internet and are accessible through username and password. The most commonly used hot wallets are desktop, mobile, and web wallets.

• Cold wallets are not connected to the internet which makes them harder to hack. They are held on paper wallets, USB drives, or hardware wallets.
